UzSAMA has reached an agreement on the sale of 51.0% state shares of Urta Osiyo Trans JSC

According to the relevant privatization programs, the State Assets Management Agency (hereinafter - the UzSAMA) reports about reaching an agreement on sale of state block of shares in the amount of 51.0% (hereinafter - the block of shares) in the authorized capital of Urta Osiyo Trans JSC (hereinafter - the Company) for 65.0 billion UZS with Hyper Partners LLC.

A consortium of companies headed by the law firm Merritz (hereinafter - the Consultant) acts as the privatization consultant of the UzSAMA.

During the privatization process of the Company, the Consultant and the UzSAMA conducted a large-scale marketing activities both locally and internationally, including the distribution of investment teasers to various foreign investors (Investor sounding) through the Consultant's own network of investors.

As a result, the Consultant accepted 3 non-binding offers (NBOs) to purchase a block of shares from foreign and local investors.

According to the Consultant's recommendation, 2 applicants were admitted to the next Binding Offers (BO) stage of the privatization process.

Based on the results of the analysis of the received Binding Offers (BO) for compliance with the qualification requirements, availability of experience in the region, closing conditions of the Transaction and providing the best redemption price exceeding the independent appraisal of the Company, Hyper Partners LLC has been selected as the winner of the tender.

According to a letter of June 7, 2023 from international company Merritz, attracted as a privatization consultant, presented the relevant conclusion that the Hyper Partners LLC and none of the associated persons are not included in the sanctions list of the European Union and the United States, as well as major international financial institutions.

Hyper Partners LLC has plans to maintain the activities of the Company in the future, at the same time organize and expand transport and logistics activities through Europe, China and Central Asian countries, as well as build a new modern customs terminal and multi-storey parking lot on the land plot owned by the Company.

Urta Osiyo Trans JSC was founded in 1992, then in 1995 it became a state joint-stock company and in 1998 it was reorganized into Urta Osiyo Trans JSC . The company is engaged in organization and performance of export-import and transit freight transportation in the republic (mainly cotton products, foodstuffs, equipment, building materials, paper, textile and knitted goods, etc.) by automobile transport. The authorized capital is 1.484 billion UZS.
